Definitions

  • The Freelancer - John Philcox, Freelance proofreader and editor, sole trader and owner of Philcox Editorial
  • The Client          - Anyone requiring the services of the Freelancer

 

The Terms and Conditions on this page apply to any work that has been agreed with the Freelancer.

  1. Services
    1. The Freelancer offers professional proofreading and editing services for written documents, both electronic and hard copy
    2. The Freelancer will provide service(s) that have been agreed with the Client and the Client has confirmed this in writing.
    3. The Freelancer strives to provide high quality and accurate services, but perfection is not guaranteed
    4. The Freelancer is not under any obligation to accept work offered by the Client and the Client is not under any obligation to offer work to the Freelancer
    5. The final responsibility for the content remains with the Client.
  2. Freelancer Responsibilities
    1. The Freelancer confirms that he is self-employed and is responsible for his own income tax/NI contributions etc, and will not be entitled to any benefits that may be provided to the Client's employees
    2. The Freelancer will work at a place and time set by the Freelancer to meet the deadline for delivery
    3. The Freelancer may renegotiate the price and/or delivery schedule if any additional requests are received after work has commenced
    4. The Freelancer may renegotiate the price and/or delivery schedule if, on receipt of the work, or while starting the work, it becomes clear that significantly more work is required than had been expected in the brief.
  3. Client Responsibilities
    1. The Client promises that the work submitted is their own and that they have the necessary rights and permissions to share it with the Freelancer
    2. The Client agrees not to submit any content that is unlawful, defamatory, offensive, or in violation of any third-party rights. This includes any content that is discriminatory or hateful to individuals or groups based on race, religion, gender, sexual orientation, disability, or any other relevant characteristic
    3. The Client promises to reimburse the Freelancer for any agreed reasonable expenses incurred as part of completing the work
    4. The Client is responsible for reviewing and approving the final edited document(s) before use.
  4. Pricing and Payment
    1. Prices for services will be provided and agreed before any work commences and will be based on the page count or word count, complexity and the required turnaround time. OR there will be a flat fee agreed for the agreed work as a whole
    2. For large projects, a deposit may be required before work commences and stage payments may also be agreed. For smaller pieces of work (less than 1 day), a 25% deposit must be paid prior to commencement and the remainder paid within 30 days of completion
    3. All payments must be made in the currency specified in the invoice, using the payment methods accepted
    4. Late payments will incur additional fees.
  5. Revisions
    1. The Freelancer offers two rounds of minor revisions at no extra charge, provided the request is made within seven days of delivery
    2. Additional revisions or changes beyond the scope of the original request will be subject to additional fees.
  6. Turnaround Times
    1. The Freelancer aims to meet agreed deadlines but cannot be held responsible for delays caused by circumstances beyond their control (e.g. force majeure)
    2. Urgent requests may incur an additional fee and must be agreed in advance.
  7. Intellectual Property
    1. The Client retains full ownership of the content submitted for proofreading or editing
    2. The Freelancer will not claim any rights to the Client's content and will not use or share it for any purpose other than providing the requested services, unless otherwise agreed with the Client
    3. By submitting the work, the Client grants the Freelancer all necessary access to the content solely for the purpose of delivering the service(s).
  8. Confidentiality
    1. The Freelancer will treat all client documents and communications with strict confidentiality
    2. The Freelancer implements reasonable measures to protect the Client's data (e.g. Password protection and anti-virus software), but cannot guarantee absolute security due to the nature of online communication.
  9. Cancellations and Refunds
    1. The Client may cancel a request for services before work has commenced for a full refund
    2. Once work has commenced, refunds may be issued at the Freelancer's discretion based on the percentage of work completed
    3. Refunds are not available for completed services unless there is a proven, significant error or issue on the part of the Freelancer.
  10. Limitation of Liability
    1. The Freelancer is not liable for any direct, indirect, incidental, or consequential damages arising from the use of the service(s), including but not limited to loss of income, business opportunities, or reputational damage
    2. The Freelancer's liability is limited to the total amount paid by the client for the specific service(s) provided.
  11. Governing Law
    1. These terms and conditions are governed by, and construed in accordance with the laws of the United Kingdom
    2. Any disputes will be subject to the exclusive jurisdiction of the courts in the United Kingdom.
  12. Amendments
    1. I reserve the right to update these Terms and Conditions at any time. Any changes will be effective upon posting on this website. It is the Client's responsibility to review these Terms and Conditions periodically.
